Overview: About CHAI and Our Mission

The Clinton Health Access Initiative, Inc. (CHAI) is a global health organization. First and foremost, we commit to saving lives and reducing the burden of disease in low- and middle-income countries. We work at the invitation of governments; thus, we support them and the private sector to create and sustain high-quality health systems.

CHAI was founded in 2002 to combat the HIV/AIDS epidemic. Its initial goal was to dramatically reduce the price of life-saving drugs and increase access to these medicines in the countries with the highest burden of the disease. Over the following two decades, however, CHAI significantly expanded its focus. Today, along with HIV, we work in conjunction with our partners to prevent and treat infectious diseases such as COVID-19, malaria, tuberculosis, and hepatitis. Furthermore, our work has also expanded into cancer, diabetes, hypertension, and other non-communicable diseases. We also work to accelerate the rollout of lifesaving vaccines, reduce maternal and child mortality, combat chronic malnutrition, and increase access to assistive technology. Moreover, we are investing in horizontal approaches to strengthen health systems through programs in human resources for health, digital health, and health financing.

About the Manager, Legal Operations Position

CHAI’s Legal Team provides crucial legal and regulatory guidance across the organization. This, in turn, supports program and country teams as they deliver life-saving work globally. As part of CHAI’s broader operational support function, the Legal Team ensures CHAI conducts its work with integrity and in compliance with relevant laws and standards.

We actively seek a Manager, Legal Operations to strengthen and enhance CHAI’s global legal operations. Reporting to Senior Counsel, this role will, therefore, work in close partnership with other Legal Team members. It will also collaborate with colleagues across CHAI, including key functional teams such as Finance, Human Resources, and Information Technology. The Manager will further engage with CHAI Leadership to support strategic initiatives and ensure legal processes enable CHAI’s global mission.

This position offers flexibility for basing in one of CHAI’s program countries, pending country leadership approval and the ability to obtain work authorization.


Key Responsibilities: Driving Legal Operational Excellence

The Manager, Legal Operations will manage critical areas to strengthen CHAI’s legal framework:

  • Corporate Entity Management & Business Licenses (50%)

    • First, proactively oversee and manage CHAI’s domestic (United States) business licenses. This includes, for example, solicitation of funds registrations and foreign corporate registrations.
    • Secondly, directly manage work by third-party consultants as needed.
    • Ensure CHAI completes all corporate filings and registrations. This maintains CHAI’s status as an employer in multiple non-presence jurisdictions outside the United States.
    • Serve as the primary Point of Contact across CHAI Operations (Finance, Payroll, Contracts, Human Resources, Compliance, etc.). Handle all legal correspondence, registration, and other documentation requests (e.g., drafting and executing Power of Attorney documents, providing updates, tracking registrations).
    • Finally, maintain cloud-based file systems and compliance tracking systems set up by the office.
  • Training for Legal Office (20%)

    • Lead the Legal Office in crafting and rolling out an organization-wide training program. This program will cover various ethics and compliance issues. Topics include conflicts of interest, financial disclosure, and fraud, waste, and abuse.
    • This independent work, therefore, requires taking the initiative in designing these various trainings. You will provide them to CHAI staff around the world with minimal oversight.
  • Board of Directors Support (20%)

    • Prepare and maintain materials for Board meetings. This includes drafting and reviewing board minutes, resolutions, and other documentation.
    • Liaise with Board members and Officers to complete annual disclosures.
    • Track updates to corporate governance requirements. Also, maintain governance documentation/minute books for CHAI entities.
  • Other Responsibilities as Assigned by Manager (10%)


Qualifications: What We’re Looking For

Required:

  • Education: Bachelor’s degree in a field relevant to CHAI’s work (legal, business, public health, international development, etc.) plus 6 years minimum experience in a full-time capacity.
  • Administrative Acumen: High-level corporate administrative experience is, consequently, required.
  • Project Management: Detail-oriented with a demonstrated ability to manage complex, full-continuum projects involving multiple stakeholders at one time. You must show a commitment to using established organizational principles to ensure all tasks are completed, both large and small.
  • Communication: Ability to communicate effectively with people of varied professional and cultural backgrounds.
  • Professionalism: Keen attention to professional email etiquette, especially with regard to the transmission of sensitive data.
  • Independence: Highly motivated to seek out resolutions, work independently, and self-motivate with oversight provided by a remote manager.
  • Technical Skills: High proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).

Preferred:

  • Candidates with legal paraprofessional experience are, furthermore, preferred.
  • Experience in a global matrixed organization is also highly preferred.
